Terms of Service

If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.

This Agreement is between DrillStack LLC and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.

If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

Order Form

Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1, which are incorporated by reference. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.

Cloud Service: A cloud-based practice planning and analytics app

Order Date: The Effective Date

Subscription Period: 12 month(s)

Cloud Service Fees:
Certain parts of the Product have different pricing plans, which are available at Provider’s pricing page. Customer will pay Provider the applicable Fees based on the Product tier and Customer’s usage. Provider may update Product pricing by giving at least 30 days notice to Customer (including by email or notification within the Product), and the change will apply in the next Subscription Period.

Payment Process:
Bill by invoice: Provider will invoice Customer Annually. Customer will pay each invoice within 5 day(s) from the last day of the Subscription Period.

Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period.

Use Limitations: 3. Account Access and Use Limitations 3.1 Single-User Accounts. Each Individual Account is licensed for use by one (1) named individual (the “Authorized User”), identified by the unique email address associated with the account at registration. An Individual Account may not be shared, transferred, or made available to any other person, whether concurrently or sequentially. 3.2 Program Accounts. A Program Account provides access for up to five (5) Authorized Users, each registered under a distinct, unique email address and each subject to Section 3.1. A Program Account may not be used to provide the Service to more than five (5) individuals at any time — whether by sharing a single set of credentials among multiple people, or by rotating credentials among more than five individuals over any period. 3.3 Prohibited Sharing. You may not: (a) share your login credentials with any person other than your own use as the Authorized User; (b) permit access to the Service by any individual who is not a registered Authorized User on your account; or (c) circumvent the per-account or per-Program seat limits described above by any means, including shared devices, credential rotation, or informal team access. 3.4 Monitoring and Enforcement. DrillStack may monitor account usage (including concurrent sessions, device and location patterns, and login activity inconsistent with single-user use) to detect violations of this Section. If DrillStack reasonably determines that an account is being used in violation of this Section, DrillStack may, at its discretion and with notice to you: (a) require you to upgrade to a plan with sufficient Authorized User seats to cover actual usage; (b) suspend or limit account access until the violation is resolved; or (c) terminate the account for material breach in accordance with the Termination section of these Terms. 3.5 Your Responsibility. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account, whether or not you personally authorized it.

Key Terms

Customer: The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word “Customer” in the Agreement will mean that company.

Provider: DrillStack LLC

Effective Date: The date Customer first accepts this Agreement.

Governing Law: The laws of the State of Delaware

Chosen Courts: The state or federal courts located in Delaware

Covered Claims:

Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights.

Customer Covered Claims: Any action, proceeding, or claim by a third party (including a player, parent, guardian, school, club, or governmental authority) to the extent it arises from: (1) Customer Content, when used according to the Agreement, violating, misappropriating, or infringing anyone else's intellectual property, privacy, publicity, or other proprietary rights; (2) Customer's entry, upload, or disclosure of personal information about any individual, including minors, without the authority, notice, or consent required by applicable law or by Customer's organization; (3) Customer's entry of information the Use Limitations prohibit, including health, medical, or other sensitive information; (4) Customer's violation of applicable law in its use of the Cloud Service; or (5) Customer's breach or alleged breach of Section 2.1 (Restrictions on Customer).

General Cap Amount:
The fees paid or payable by Customer to provider in the 12 month period immediately before the claim
